Licence Agreement
This licence agreement is between you and Mountainroad DSP S.à r.l.-S, 29 Rosbösch, L-6870 Wecker, Luxembourg (“we”, “us”). It covers auxCord, Lumina Delay and any other software we make available to you (the “Software”), whether you bought it, got it as a free upgrade, or are trying it.
Please read it before you buy. By buying or using the Software, you accept it.
1. Who sells, who licenses
You buy the Software from Moonbase, the seller of record: Moonbase AS (Norway) or Moonbase LLC (USA), whichever is named on your order. Moonbase takes your payment, charges VAT or sales tax, issues your invoice and handles refunds. Moonbase’s General Terms & Conditions for Buyers cover the purchase. This agreement covers your use of the Software, and it is between you and us. Moonbase is not a party to it.
2. Your licence
When you buy the Software, we give you a perpetual, non-exclusive licence to install and use it for your personal and commercial music and audio work. Perpetual means the licence does not expire. The licence is personal to you: you may not sell or pass it on yourself, but we will move it to someone else’s account for you (see section 7).
3. What you make is yours
Everything you create with the Software belongs to you: recordings, mixes, masters, stems, samples and anything else. You can release, sell and license your work however you want, without paying us anything and without crediting us.
You are responsible for the audio you bring into or send out of the Software. Make sure you have the rights to the recordings and samples you use; we aren’t responsible for how you use them.
4. Activations
One licence runs on up to 2 computers at a time. You activate the Software from the plugin, online or with an offline licence file, and it checks its licence online from time to time. If a check can’t reach our licence server, connect to the internet or activate offline; if that doesn’t help, write to support@mountainroaddsp.com and we’ll help as far as we can. To use the Software on another computer, free a seat in your account first.
Activation depends on a licence server that Moonbase runs for us. We intend to keep it running for as long as we sell and support the Software. If we ever have to stop it, we will try to release an update or a licence file that keeps the version you own working without it, but we can’t promise this in every case, for example if our company closes. This doesn’t limit your rights under section 9.
5. Free trial
You can try auxCord free for 14 days, with every feature, before you buy. The trial needs a free account and no payment details. You start it from the plugin. When it ends, the plugin stays in your session but goes silent until you activate a licence. You may not reset, extend or work around a trial.
6. Updates and upgrades
We may release updates and new versions of the Software. Whether a new major version is free for existing owners or a paid upgrade is decided for each release and stated on this website when it comes out. auxCord 3.0 is a free upgrade for existing auxCord owners. We announce updates on our downloads page, and you’ll find them in your account.
If you are a consumer, you also get the updates the law requires to keep the Software working as described, including security updates, for as long as the law requires (see section 9). If we told you about an update and you don’t install it, we aren’t responsible for faults that update would have fixed, as long as its installation instructions were adequate.
7. What you may not do
- Install or run the Software on more computers at a time than your licence allows.
- Sell, resell, rent, lease, lend or sublicense the Software, or pass on your licence yourself.
- Share your account, licence or activation codes with anyone else.
- Remove, disable or work around the licence check or copy protection.
- Decompile, disassemble or reverse engineer the Software, except where mandatory law allows it (for example, EU law allows decompiling to make software work with other programs).
Want to give or sell your licence to someone else? Write to support@mountainroaddsp.com, and we’ll move it to their account and remove it from yours.
8. Third-party components
The Software includes components made by others, which are licensed under their own terms. Nothing in this agreement limits your rights under those licences. auxCord uses:
- iPlug2 plug-in framework (zlib-style licence)
- Steinberg VST3 SDK and Avid AAX SDK (their own licence agreements)
- Apple Lossless Audio Codec (ALAC) decoder (Apache License 2.0)
- Mbed TLS (Apache License 2.0)
- Roboto typeface (Apache License 2.0)
- Asio (Boost Software License 1.0)
- moodycamel::ConcurrentQueue (Simplified BSD License)
- dnssd by Ruurd Adema (MIT License)
- Moonbase C++ SDK (MIT License)
- JSON for Modern C++ by Niels Lohmann (MIT License)
- QR Code generator library by Project Nayuki (MIT License)
The full licence texts are included with the Software.
VST is a registered trademark of Steinberg Media Technologies GmbH. AAX and Pro Tools are trademarks of Avid Technology, Inc. AirPlay and Mac are trademarks of Apple Inc. Other names are trademarks of their owners.
9. Your rights as a consumer
If you are a consumer in the EU, you keep all your statutory rights for digital content. These include the right to Software that works as described, the updates needed to keep it that way, and, if a fault can’t be fixed, a price reduction or a refund. Nothing in this agreement limits those rights or any other right that the law of your country gives you and that can’t be waived. How to cancel a purchase or get a refund is explained in our refund policy.
10. Liability
We are fully liable for damage we cause intentionally or through gross negligence, for death or personal injury, under product liability law, and wherever the law does not allow liability to be limited.
For slight negligence, we are liable only if we breach an obligation that is essential for the Software to work as agreed, and then only for damage that was typically foreseeable when you got your licence. In that case, for lost data we are liable only for what it would have cost to restore it from a reasonably current backup. If you use the Software for your business, our liability for slight negligence is also limited to the amount you paid for it.
We work hard to make our software reliable, but no software is free of errors, and computers fail. Please save your work often and keep backups of your sessions and projects.
Your rights if the Software doesn’t work as described (section 9) are not affected by this section.
11. When the licence ends
We can end your licence if you seriously break this agreement (for example by sharing or reselling it, or by getting around the licence check), or if you break it in another way and don’t stop within 14 days after we tell you. Your licence also ends if your purchase is refunded or reversed through a chargeback. When it ends, you must stop using the Software, and its activations are removed.
12. Law and courts
This agreement is governed by Luxembourg law. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and where the law allows, you may bring a claim in its courts.
